Introduction
These Terms and Conditions of sale ("Conditions") apply to the sale to you of any of the clothing, accessories and other goods ("Goods") listed on www.Precis.co.uk ("Website") .
The Website and Goods are provided by Precis. Precis is a trading name of Jacques Vert Plc, a company incorporated in England under number 01075752 with a registered office at 46 Colebrooke Row, London N1 8AF ("we", "us", "our") When we refer to "you" and "your" we mean the user of the Website and purchaser of Goods.
These Conditions form a legally binding contact between us and you. Please ensure that you read these Conditions carefully before you order any Goods from the Website. You should understand that by placing an order with us, you are agreeing to be bound by these Terms and Conditions.
Territory
All orders are treated as placed and received in the United Kingdom. We do not currently accept orders from outside the United Kingdom and Channel Islands.
Your Status
By placing an order through the Website, you warrant that:
• You are legally capable of entering into binding contracts
• You are resident in, and accessing the Website from, the UK or Channel Islands; and
• You are at least 18 years old.

Orders
Your order constitutes an offer to us to purchase the Goods. After placing your order, you will receive an email from us acknowledging that we have received your order ("Confirmation Email"). Please note receipt of the Confirmation Email does not mean that your order has been accepted. When we accept your order we will notify you by sending an email confirming that the Goods have been despatched ("Despatch Email"). The contract between us will be formed when we send you the Despatch Email ("Contract").
The Contract will only relate to those Goods whose despatch we have confirmed in the Despatch Email. We will not be obliged to supply any other Goods, which may have been part of your order until the despatch of such Goods has been confirmed in a separate Despatch Email.
We will charge your credit or debit card with the amount specified in the Despatch Email, at the time we despatch your order.
Payment
We accept online payment in a secure environment by credit card, debit or payment card acceptable to us. We currently accept Electron, Maestro, Visa Credit & Debit and MasterCard. Payment will be encrypted to ensure secure electronic transmission of data.
You confirm that you are entitled to use the method of payment entered on this site.
All credit/debit cardholders are subject to validation checks and authorisation by the card issuer. Please ensure that the details you enter are correct. If the issuer of your payment card refuses to or does not, for any reason, authorise payment to us, we will not be liable for any delay or non-delivery.
We will produce a VAT invoice for VAT registered companies and individuals on request. We will make an administrative charge of £5.00 per invoice produced and you hereby authorise us to deduct such an amount from the means of payment you used to pay for your order.
Price
All prices are inclusive of VAT (where applicable) at the current rates and are correct at the time of entering the information onto the system. The total cost of your order is the price of the products ordered plus any delivery charges as set out in these Conditions. A VAT invoice is available from us on request. See Delivery & Returns.
We do not have the facility for VAT free shopping online and cannot refund any VAT for Online orders delivered to the Channel Islands. The VAT invoice that we can provide can be used by you to claim back the VAT paid on an order.

The price of any Goods will be as quoted on the Website, except in cases of obvious error. The price of the Goods on the Website may vary from prices quoted in other websites operated by Precis, in store prices and any brochure prices. Prices are liable to change at any time, but changes will not affect orders in respect of which we have already sent you a Despatch Email.
The Website contains a large number of Goods and it is always possible that, despite our best efforts, some of the Goods listed on the Website may be incorrectly priced. We will normally verify prices as part of our despatch procedure so that, where any item's correct price is less than our stated price, we will charge the lower amount when dispatching the relevant Goods to you. If an item's correct price is higher than the price stated on the Website, we will normally, at our discretion, either contact you for instructions before dispatching the Goods or reject your order and notify you of such rejection.
We are under no obligation to provide the Goods to you at an incorrect (lower) price, even after we have sent you a Despatch Email, if the pricing error is obvious and unmistakable and could reasonably have been recognised by you as a mis-pricing.
Conformity Of Goods
We have made every effort to ensure that the description and specification of our garments are correct at the time of going live online and the photographic representation of our products is as accurate as possible.
However, while the colour reproduction of the products is a close representation, we cannot accept any responsibility for any variation in colour caused by the browser software or computer system used by you. Therefore, we cannot guarantee that the colours you see on your monitor will be identical to the products you will receive.
The availability and specification of the Goods are subject to change without notice, although we will try and give you notice wherever possible.
Delivery
Your order will be fulfilled by the delivery date set out in the Despatch Email or, if no delivery date is specified, then within 30 days. Details of delivery rates can be viewed on the Website under Delivery & Returns.
Risk and Title
Ownership of the Goods shall not pass to you until we have received in full all monies owed by you to us under this Contract and any other contract with us. All risk of loss of or damage to the Goods shall pass to you upon delivery.
Cancellation
If you are contracting as a consumer, you may cancel a Contract at any time within seven working days beginning on the day after you received the Goods. In this case, you will receive a full refund of the price paid for the Goods in accordance with our refunds policy set out below.
To cancel a Contract, you must inform us by email at customerservices@precis.co.uk. Return the Goods to us immediately, in the same condition in which you received them, and at your own cost and risk. Goods must be returned to us at the address given on the returns slip delivered with your order. You have a legal obligation to take reasonable care of the Goods while they are in your possession. If you fail to comply with this obligation, we may have a right of action against you for compensation.
Refunds Policy
If you have cancelled the Contract between us, we will process the refund due to you as soon as possible and, in any case within 30 days of the day you have given notice of your cancellation. In this case, we will refund the price of the Goods in full, including the cost of sending the item to you. However, you will be responsible for the cost of returning the item to us.
If you wish to return the Goods for any other reason (for instance, because you have notified us that you do not agree to any change in these Conditions, because you claim that the Goods are defective or simply because you are dissatisfied with the Goods for any reason), you may do this within 14 days of delivery by posting the Goods back to us at the address given below.
We will examine the returned Goods and, provided that you have complied with our returns policy we will notify you of your refund within a reasonable period of time. We will usually process the refund due to you as soon as possible and, in any case within 30 days of the day we confirmed to you that you were entitled to a refund for the returned Goods.
Defective Goods, which have been returned by you, will be refunded in full, including a refund of the delivery charges for sending the item to you and the cost incurred by you in returning the item to us. In all other cases, we will refund the price of the Goods, but (save where the Goods have been returned under the cooling off period) not any delivery charges for sending the item to you and any costs incurred by you in returning the item to us.
In each case, the Goods must be returned with proof of purchase, in the same condition in which you received them, in the original packaging and at your own cost and risk (unless the relevant Goods are defective). Please note, if you return goods to us outside of the stated returns period, we will not issue a refund to you and you may request that we return the goods to you.
We will usually refund any money received from you using the same method originally used by you to pay for your purchase.
This is in addition to your statutory rights which remain unaffected.
Refusal Of Transaction
Precis reserves the right to withdraw any products from this website at any time and/or remove or edit any materials or content on this website. Jacques Vert plc may refuse to process a transaction for any reason or refuse service to anyone at any time at our sole discretion. Jacques Vert plc will not be liable to you or any third party by reason for our withdrawal of any product from this website whether or not that product has or has not been sold; removed or edited in materials or content on the website; refusing to process a transaction or unwinding or suspending any transaction after processing has begun.
Discount
Any discounts used on this website cannot be used in conjunction with any other sale/discounts or promotional offers.
Discounts cannot be exchanged for cash in excess of the nominal value of £0.01 and is not transferable.
When claiming a discount on this website, the promotion code must be quoted when prompted at the checkout for the discount to apply. Subsequent requests to amend order details to include a missed discount will be refused.
Precis reserves the right to amend, withdraw or restrict any discounts or offers at any time without notice.
Third Parties
We do not provide links on the Website to the websites of other companies., whether affiliated with us or not.

Indemnity
You agree fully to indemnify, defend and hold us, and our officers, directors, employees, agents and suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of the Conditions by you or any other liabilities arising out of your use of this Website, or the use by any other person accessing the website using your shopping account and/or your personal information.

You are permitted to use this material only as expressly authorised by our licensors or us.

You confirm that, in agreeing to accept these Conditions, you have not relied on any representation save insofar as the same has expressly been made a term of these Conditions and you agree that you shall have no remedy in respect of any representation.
Exclusions Of Liability
Any disclaimers and exclusions of liability in these terms & conditions shall not apply to any damages arising from death or personal injury caused by the negligence of Jacques Vert plc or any of its employees or agents or fraud. These disclaimers and exclusions shall be governed by and construed in accordance with English Law. If any provisions of these disclaimers and exclusions shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
Nothing in this clause shall limit or exclude our liability in respect of any fraudulent or negligent misrepresentation whether or not such has become a term of these Conditions.
